License Agreement

This License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, referred to as "You" or "Licensee") and WP Honcho ("Licensor", "We", "Us", or "Our") for the WordPress plugin software product(s) that you have purchased or subscribed to ("Software" or "Plugin").

By purchasing, downloading, installing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not purchase, download, install, or use the Software.

1. License Grant

1.1 Single Site License

A Single Site License grants you the right to use the Software on one (1) production WordPress website plus one (1) staging/development site with the same base domain.

1.2 Multi-Site License (3 Sites)

A Multi-Site License grants you the right to use the Software on up to three (3) production WordPress websites plus up to three (3) staging/development sites (one staging site per production site).

1.3 Unlimited Sites License

An Unlimited Sites License grants you the right to use the Software on an unlimited number of WordPress websites that you own or manage directly. This license does not permit redistribution or use on client sites (see Agency/Developer restrictions below).

1.4 Staging Sites

For each production site license, you may activate the Software on one (1) staging or development site. Staging sites must:

• Have the same base domain as the production site (e.g., staging.example.com for example.com)
• Include staging identifiers (staging, dev, test, development, preview, etc.)
• Not be publicly accessible or used for production purposes

2. Permitted Uses

Subject to the terms of this Agreement, you may:

• Install and use the Software on the permitted number of sites according to your license type
• Receive updates and bug fixes for the duration of your active license/subscription
• Receive technical support according to your license tier
• Modify the Software for your own use (modifications are not supported)
• Transfer the license to another site you own (within your site limit)

3. Restrictions

You may NOT:

• Redistribute: Sell, rent, lease, distribute, or sublicense the Software to third parties
• Share License Keys: Share your license key with others or use it on sites you don't own/control
• Circumvent Licensing: Remove, bypass, or disable the license verification system
• Reverse Engineer: Decompile, reverse engineer, or disassemble the Software (except where permitted by law)
• Create Derivatives: Create derivative products or competing plugins based on the Software
• Include in Themes/Bundles: Bundle the Software with themes or other products for distribution
• Exceed Site Limits: Use the Software on more sites than your license permits
• Use for Client Sites: Use a personal license to deploy on client websites (requires separate client licenses)

4. Agency and Developer Usage

4.1 Client Sites

If you are a web developer or agency building sites for clients:

• Each client site requires its own separate license
• You cannot use your personal license on client sites
• Clients must purchase their own license, or you must purchase a license on their behalf
• You may not bundle the Software cost into your service fees without purchasing separate licenses

4.2 Development Sites

You may use the Software on local development environments (localhost, *.local, *.test) without counting against your site limit, provided they are used solely for development and testing purposes.

5. License Types and Duration

5.1 One-Time Purchase (Lifetime)

One-time purchase licenses include:

• Lifetime use of the Software version you purchased
• Updates and support for one (1) year from purchase date
• After one year, the Software continues to work but updates and support end
• You may optionally renew for another year of updates and support at a discounted rate

5.2 Monthly/Annual Subscription

Subscription licenses include:

• Automatic updates and support for the duration of your active subscription
• Subscription renews automatically unless you cancel
• You may cancel at any time; access continues until the end of your billing period
• After cancellation, the Software continues to work but updates and support end
• License key is deactivated 30 days after subscription ends

6. Updates and Support

6.1 Updates

While your license is active, you will receive:

• Bug fixes and security patches
• New features and improvements
• Compatibility updates for new WordPress versions
• Automatic update notifications within WordPress

6.2 Support

Active licenses include:

• Email support with 24-48 hour response time (business days)
• Access to documentation and knowledge base
• Priority support for annual/unlimited licenses
• Support is provided in English only

7. Intellectual Property and Ownership

The Software is licensed, not sold. WP Honcho retains all rights, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any rights to trademarks, service marks, or logos of WP Honcho.

The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.

8. Open Source Components

The Software may include third-party open source components. These components are governed by their respective open source licenses. The terms of this Agreement do not apply to those components, and your use of those components is subject to their original licenses.

9. Termination

9.1 Termination by You

You may terminate this Agreement at any time by:

• Canceling your subscription (for subscription licenses)
• Requesting a refund within 30 days (see Refund Policy)
• Uninstalling the Software and ceasing all use

9.2 Termination by WP Honcho

We may terminate this Agreement and revoke your license if you:

• Breach any terms of this Agreement
• Use the Software fraudulently or illegally
• Engage in license key sharing or piracy
• Abuse our refund policy or support system

Upon termination, your license key will be deactivated, and you must cease all use of the Software.

12. Indemnification

You agree to indemnify, defend, and hold harmless WP Honcho and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Software or your breach of this Agreement.

13. Privacy and Data Collection

The Software may collect the following information for license verification and support purposes:

• License key and activation status
• Domain names where the Software is activated
• WordPress version and PHP version
• Plugin version information
• IP address (for rate limiting and security)

We do not collect personal information from your WordPress site content. For more information, see our Privacy Policy.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the courts located in [Your Jurisdiction].

15. Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will notify you of any material changes by email or through a notice on our website. Your continued use of the Software after such modifications constitutes your acceptance of the updated Agreement.

16. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

This Agreement, together with our Terms of Service and Refund Policy, constitutes the entire agreement between you and WP Honcho regarding the Software and supersedes all prior agreements and understandings.
